Terms of Service

These Terms of Service ("Terms") govern your access to and use of shaxx.ca (the "Site") and the services provided by Shaxx ("Shaxx", "we", "us", or "our"), based in Abbotsford, British Columbia, Canada. By using the Site or engaging our services, you agree to these Terms.

1. Our services

Shaxx provides digital agency services, which may include AI voice receptionists, missed-call text-back, marketing automation, local SEO, web design, custom software, and related services. The specific services, deliverables, and scope for any engagement will be confirmed with you in writing before work begins.

2. Pricing & payment

Pricing shown on the Site is published in good faith and may change over time. The price that applies to your engagement is the one confirmed in writing with you. Unless otherwise agreed:

  • Plans are billed monthly with no long-term contracts;
  • Setup is included unless stated otherwise;
  • Fees are due as invoiced; late or failed payments may pause service.

3. Results guarantee

Where we advertise a results or "KPI" guarantee (for example, our 90-day guarantee), the specific benchmarks, conditions, and remedy are defined in writing before the engagement starts. The guarantee applies only to the agreed, measurable KPIs and assumes you provide reasonable access, information, and cooperation. It is not a guarantee of any particular revenue outcome beyond those defined benchmarks.

4. Your responsibilities

To deliver our services, we rely on you to provide accurate information, timely feedback and approvals, and any access (accounts, assets, content) we reasonably need. You are responsible for the legality and accuracy of materials you provide to us, and for complying with laws that apply to your business (including, where relevant, marketing-consent laws such as CASL).

5. Cancellation

You may cancel a monthly plan with 30 days' written notice. Fees already incurred are non-refundable unless otherwise agreed or required by law.

6. Intellectual property

Upon full payment, you own the final deliverables we create specifically for you (such as your website content and brand assets), except for third-party materials and our pre-existing tools, frameworks, and know-how, which remain ours and may be licensed to you for use in connection with the deliverables. Site content (text, graphics, logos) is owned by Shaxx or its licensors and may not be copied without permission.

7. Third-party services

Our services may integrate third-party platforms (for example, Google, Meta, Twilio, Stripe, or hosting providers). Your use of those platforms is subject to their own terms, and we are not responsible for their availability, performance, or actions.

8. Disclaimers

The Site and our services are provided "as is" and "as available". Except for any express guarantee confirmed in writing, we make no warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Shaxx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising from the Site or our services will not exceed the amount you paid to us for the services giving rise to the claim in the three (3) months before the claim arose.

10. Indemnification

You agree to indemnify and hold Shaxx harmless from claims arising out of materials you provide, your use of our services, or your breach of these Terms or applicable law.

11. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of British Columbia have jurisdiction over any dispute, subject to any agreed dispute-resolution process.

12. Changes

We may update these Terms from time to time. The "Last updated" date reflects the current version, and continued use of the Site after changes means you accept them.
